SnapMatePhoto Terms of Service

IMPORTANT — READ CAREFULLY: Section 21 contains a binding arbitration provision and class-action waiver for Users in the United States. If you do not agree, do not use the Services.

1. Agreement & Scope

These Terms of Service (“Terms”) govern your access to and use of SnapMatePhoto’s websites, apps, and services that enable customers to book photography sessions with independent photographers, and enable photographers to offer those sessions (collectively, the “Services”). “User,” “you,” or “your” means anyone who uses the Services, including Customers and Photographers. By using the Services, you agree to these Terms and to our Privacy Policy.

2. Key Definitions

Customer: a User who requests, books, or purchases a photo session.

Photographer: a User who lists, offers, or performs photo sessions. Photographers are independent contractors, not employees, partners, joint venturers, or agents of SnapMatePhoto.

Booking: a confirmed session between a Customer and a Photographer through the Services.

Managed Session / Enterprise Booking: a Booking paid by or for an organization (e.g., school/club/company) invoiced via Stripe or a SnapMatePhoto payment link.

Content: text, photos, video, reviews, profiles, and other material you upload, post, or otherwise provide.

Personal Use: non-commercial use such as personal social posts, prints, and sharing with friends/family.

Commercial Use: use of photos for any business or revenue-generating purpose (including business websites, brand social, paid ads, product packaging, sales collateral, investor materials, PR, and promotional emails), excluding unlawful or defamatory uses and uses that falsely imply endorsement.

3. Eligibility & Accounts

You must be 18+ (or the age of majority where you live) to use the Services. Create one account per person and keep your credentials secure. You are responsible for all activity under your account.

4. Platform Role & Independent Contractor Relationship

4.1 We’re a Venue, Not the Provider

SnapMatePhoto does not provide photography services and is not a party to contracts between Customers and Photographers. We operate an online venue and payments infrastructure (via Stripe). Except as expressly stated for Managed Sessions, we are not the employer, agent, or insurer of any Photographer or Customer.

4.2 Photographers Are Independent Contractors

Each Photographer is an independent business operator and an independent contractor, not an employee, agent, joint venturer, franchisee, or partner of SnapMatePhoto.

Photographers acknowledge they are not entitled to employment benefits, workers’ compensation, unemployment insurance, or other benefits provided to employees.

5. On-Platform Only (Non-Circumvention)

You must communicate, book, and pay through the Services for any lead discovered through SnapMatePhoto. You agree not to solicit or accept off-platform payment or contact details to transact outside SnapMatePhoto for 12 months after the most recent interaction with a User found via SnapMatePhoto.

Violations may result in account suspension, withholding of payouts, and liquidated damages equal to the greater of US $500 or 20% of the off-platform transaction(s), plus reasonable investigation/collection costs. SnapMatePhoto may also seek injunctive relief to enforce this Section.

6. Payments, Holds, Fees & Payouts (Stripe Connect)

6.1 Processor and Stripe Connect

We use Stripe and Stripe Connect to process payments and facilitate payouts. By paying through the Services or receiving payouts, you agree to the Stripe terms applicable to you.

6.2 Charges at booking

Customers pay at booking. Charges may include the session price set by the Photographer, applicable taxes, and any disclosed service, platform, or processing fees.

6.3 Holds and release conditions

Funds will be eligible for release after either (a) the Customer confirms delivery, or (b) seven (7) days pass after deliverables are posted and the Customer has not reported a material issue.

6.4 Risk controls

SnapMatePhoto may extend holds, place reserves, or delay payouts as reasonably necessary for risk, fraud, compliance, chargeback, dispute, or verification checks.

6.5 Payout timing and adjustments

Payouts are made to the Photographer’s connected Stripe account after delivery confirmation. SnapMatePhoto may withhold, offset, or reverse payouts to address refunds, chargebacks, disputes, suspected fraud, policy violations, or amounts owed.

6.6 No off-platform payment

All payments for Bookings must be made through the Services.

6.7 Taxes and information reporting

Each User is responsible for all applicable taxes. SnapMatePhoto may request tax forms including Form W-9 and may issue required tax reporting forms (including Forms 1099). If required information is not provided, SnapMatePhoto may withhold payouts.

6.8 Card network rules

Customers retain whatever rights they may have under their payment card network’s rules (including chargeback rights). Nothing in these Terms limits those rights as required by applicable law.

7. Pricing, Fees & Receipts

Photographers generally set their own prices. SnapMatePhoto may charge service, platform, or processing fees disclosed at checkout. We may change fees prospectively with notice. Receipts are issued electronically. Unless required by law, SnapMatePhoto service fees, platform fees, and processing fees are non-refundable.

8. Cancellations, Reschedules & Refunds

Customer-initiated

Unless required by law, SnapMatePhoto service fees, platform fees, and processing fees are non-refundable, even when a Customer receives a refund.

Photographer-initiated

If a Photographer cancels after confirmation, SnapMatePhoto may offer a replacement Photographer, reschedule, issue a refund, or remove the Photographer from the platform. Photographers agree to a cancellation fee equal to 30% of the booking price (deducted from future payouts) for non-force-majeure cancellations inside 7 days.

Weather & Safety

For outdoor shoots, parties will make good-faith efforts to reschedule. If rescheduling is impossible, refunds follow the policy above unless a listing states a different weather policy.

9. Delivery, Acceptance & Revisions

9.1 In-platform delivery only

Photographers must deliver all agreed deliverables by uploading them to the Services. Private delivery outside the Services is prohibited unless SnapMatePhoto provides written approval for a specific Booking.

9.2 Delivery timeframe

Photographers will deliver edited photos (or stated deliverables) by the timeframe shown on the listing or mutually agreed in writing through the Services.

9.3 Acceptance and material issues

A Booking is deemed accepted seven (7) days after deliverables are posted unless the Customer reports a material issue through in-product support within that window.

9.4 Minor fixes and additional edits

Unless a listing says otherwise, Photographers will make up to one reasonable round of minor fixes consistent with the Booking scope (no re-shoot). Additional edits or re-shoots are not included unless expressly agreed and may require additional payment.

9.5 Backup and retention

SnapMatePhoto may host delivered files for convenience, but we do not guarantee indefinite storage. Customers should download and back up delivered files promptly.

10. Intellectual Property & Licenses

10.1 Ownership

Photographers retain copyright in their work unless an express written assignment says otherwise. SnapMatePhoto does not acquire ownership of your photos or other Content.

10.2 License to Customer

Upon full payment, the Customer receives a worldwide, perpetual, non-exclusive, royalty-free license to use, copy, modify, display, and distribute the delivered photos for both Personal and Commercial Use. No attribution is required. The license does not permit unlawful, defamatory, or misleading uses, or uses that falsely imply a person’s endorsement.

10.3 Customer Commercial-Use Clearances and Model Releases

For any Commercial Use, Customer represents and warrants that Customer has obtained all necessary rights, permissions, consents, and releases (including model/likeness, location/venue, and any third-party trademarks or copyrighted works that appear). If the photos contain any identifiable third party (including minors), Customer will obtain a written model release before any Commercial Use.

10.4 Platform License

You grant SnapMatePhoto a worldwide, perpetual, royalty-free license to host, reproduce, display, adapt, distribute, and create derivative works from Content you upload to operate, improve, and market the Services. We do not sell your photos as standalone products.

10.5 AI and Machine Learning

SnapMatePhoto may use Content to train, fine-tune, and improve internal AI and machine learning models that operate the Services, including for search, recommendations, content moderation, fraud detection, and image quality analysis. SnapMatePhoto will not license Content to third parties for the primary purpose of training generative AI models for resale.

11. Reviews, Community Standards & Section 230

Users must post truthful reviews based on actual sessions, avoid harassment or hate, and comply with law. SnapMatePhoto may moderate, remove, or decline Content that violates these Terms. SnapMatePhoto is an interactive computer service under 47 U.S.C. §230 and is not the publisher or speaker of User Content.

12. Safety; Minors; Background Checks

For sessions involving minors, a parent/guardian must be present and consent. If SnapMatePhoto offers identity or background checks, they are limited and not guarantees of safety — always use diligence.

13. Photographer Terms

You are an independent contractor and solely responsible for tools, expenses, insurance, and lawful operation of your business. You will keep your listings accurate, meet delivery/quality commitments, comply with all applicable laws, and maintain necessary permits. You acknowledge each Booking includes the commercial license to the Customer described in Section 10 and will price accordingly.

14. Customer Terms

Show up on time, follow reasonable directions needed to complete the session, and promptly provide preferences/selection info requested by the Photographer. Do not use delivered photos beyond the granted license without required permissions. You authorize SnapMatePhoto to charge your payment method for bookings and other amounts you owe under these Terms.

15. Release Between Users

To the maximum extent permitted by law, you release SnapMatePhoto from any claims, demands, and damages arising out of disputes between Users. If you are a California resident, you waive California Civil Code §1542 and similar laws.

16. Managed/Enterprise Bookings (B2B)

Invoices or payment links may be issued by SnapMatePhoto; the organization is the Customer. If an SOW, insertion order, or invoice conflicts with these Terms, the Managed/Enterprise terms control for that Booking. Photographers remain independent contractors.

18. Third-Party Services

Your use of third-party services (e.g., Stripe, Google integrations) is subject to their terms. SnapMatePhoto is not responsible for third-party services or outages.

19. SMS / Text Message Program

Program name: SnapMatePhoto Booking Notifications.

When you provide a mobile phone number and opt in, SnapMatePhoto may send you transactional text messages related to your bookings (confirmations, reminders, photographer assignment, delivery notifications, cancellation or reschedule alerts, and customer service responses).

Consent. You are not required to consent to receive text messages as a condition of using the Services. By providing your mobile number and opting in, you consent to receive recurring automated text messages from SnapMatePhoto at the number provided.

Message frequency. Frequency varies based on your activity. You may receive up to several messages per booking.

Message and data rates. Message and data rates may apply. Check with your wireless carrier for details. SnapMatePhoto does not charge for the messages.

HELP. Reply HELP to any message for assistance, or contact snapmate@snapmatephoto.com.

STOP. Reply STOP to any message to unsubscribe at any time. After you send STOP, we will send one confirmation message and you will not receive further messages. To resubscribe, reply START or sign up again through the Services.

Supported carriers. Major U.S. carriers including AT&T, T-Mobile, Verizon, U.S. Cellular, and others. Carriers are not liable for delayed or undelivered messages.

Privacy. Information collected through the SMS program is handled in accordance with our Privacy Policy. We do not sell or share your mobile phone number or text message content with third parties for their marketing purposes.

20. Privacy

See our Privacy Policy for details on how we collect and use your data. You may request account deletion as described there. California residents have additional rights described in our Privacy Policy under “Your California Privacy Rights.”

21. IP Complaints; Repeat-Infringer Policy (DMCA)

SnapMatePhoto responds to notices of alleged infringement consistent with 17 U.S.C. §512. We may remove or disable access to material alleged to infringe and, where appropriate, terminate accounts of repeat infringers. To submit a notice or counter-notice, contact snapmate@snapmatephoto.com.

22. Dispute Resolution, Arbitration & Class-Action Waiver (U.S.)

22.1 Informal resolution first

Before starting arbitration, send a notice of dispute to snapmate@snapmatephoto.com. If the dispute is not resolved within thirty (30) days, either party may start arbitration.

22.2 Binding arbitration

To the fullest extent permitted by law, any dispute between you and SnapMatePhoto will be resolved by binding individual arbitration under the AAA Consumer Arbitration Rules.

22.3 Class-action waiver

You may bring claims only on your own behalf and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

22.4 Small claims; Injunctive relief

Either party may bring qualifying claims in small claims court. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information, or to enforce Section 5.

22.5 Opt-out

You may opt out of arbitration within thirty (30) days of creating your account by sending written notice to snapmate@snapmatephoto.com.

22.6 Governing law and venue

These Terms are governed by Delaware law. For any non-arbitrable claim, exclusive venue is the state or federal courts in New Castle County, Delaware.

23. Disclaimers

THE SERVICES ARE PROVIDED “AS IS.” SNAPMATEPHOTO MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. We do not control Users or guarantee any session outcome.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNAPMATEPHOTO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNT YOU PAID TO SNAPMATEPHOTO IN THE 12 MONTHS BEFORE THE EVENT.

25. Indemnification

By Photographer. Photographer will defend, indemnify, and hold harmless SnapMatePhoto from any third-party claim arising out of Photographer’s Content, services, failure to obtain required releases, or breach of these Terms. Aggregate liability under this Section is capped at the greater of (a) US $10,000, or (b) three times the total fees Photographer received in the preceding 12 months.

By Customer. Customer will defend, indemnify, and hold harmless SnapMatePhoto from any third-party claim arising out of Customer’s Commercial Use of photos, failure to obtain required model/venue permissions, Customer’s Content, or breach of these Terms.

26. Suspension; Termination

We may suspend or terminate your account, remove Content, or withhold payouts if we believe you violated these Terms. You may stop using the Services at any time. Sections that by nature should survive (including payments, licenses, arbitration, and limitations) survive termination.

27. Changes to the Services or Terms

We may modify the Services or these Terms prospectively. If we make material changes, we will provide notice (e.g., by email or in-product). Continued use after the effective date constitutes acceptance.

28. Assignment; Entire Agreement; Severability

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset sale. These Terms (plus incorporated policies) are the entire agreement between you and us. If any provision is unenforceable, the remainder remains in effect.

29. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., acts of God, labor disputes, internet failures, governmental actions).
